Terms of Service

Agreement and eligibility

These Terms of Service ("Terms") govern your use of bizglocal.com, its subdomains and related services (together, the "Site" and the "Service"), which are operated by Bizglocal ("we", "us"). By using the Service, submitting a request or listing a product, you agree to these Terms, our Privacy Policy and our Cookie Policy. If you do not agree, please do not use the Service.

The Service is for businesses and professionals aged 18 or over. If you use it for a company, you confirm that you can bind that company to these Terms, and "you" includes the company.

Software vendors may also have a separate agreement with us, for example for listings or partnerships. If that agreement conflicts with these Terms, it controls for that relationship.

What Bizglocal does

Bizglocal researches business software, compares it, shortlists options, and connects businesses with the vendors behind them.

• We are not a vendor or reseller of the software we list, and we are not a party to any agreement you make with a vendor.
• Our shortlists and comments are general business information. They are not legal, financial, tax, security or procurement advice. You are responsible for deciding whether any product suits your needs, and for doing your own checks before you buy.
• Targets such as "matched within 24 hours" describe what we aim to do. They are not guarantees.
• We may change, pause or stop any part of the Service, including adding or removing industries and categories.

Using the Site

When you use the Service you agree to:

• give accurate information, and submit requests only for yourself or for a company you are authorised to act for;
• not use bots, scrapers or other automated means to collect content or submit forms, other than ordinary search engine indexing;
• not copy, resell or republish our listings, ratings or comparisons, or use the Service to build a competing directory;
• not try to break, probe or overload the Site, bypass security, or introduce malware;
• not use the Service to send spam, harass anyone, infringe rights, or break any law;
• not pretend to be someone else, or to be connected with Bizglocal or a vendor when you are not; and
• not submit sensitive personal data, such as health, financial account or government ID information (see our Privacy Policy).

If you break these rules, we may remove content, block access, or report the matter to the authorities.

Requests, quotes and introductions

When you submit a recommendation or quote request, you ask us to share it with software vendors relevant to it, as our Privacy Policy describes. You confirm that you may give us that information, and that those vendors may contact you about your request.

• No obligation to buy. A request does not commit you to anything.
• Deals are between you and the vendor. If you buy, you contract directly with the vendor under its terms. Bizglocal is not responsible for the vendor's product, price, delivery, support or conduct.
• Discounts and offers. Discounts and deals available through our network are offered by vendors. They can depend on your company, location, plan and timing, and they can change or end. We cannot guarantee any particular price, discount or saving.

Rankings and labels

No vendor is guaranteed a ranking, badge or position on the Site. Labels such as "Best in Support" reflect our own view at the time and are not a guarantee that a product will suit you or perform in any particular way. We may change how products are selected, ordered and labelled as the Service grows.

Information, ratings and pricing

Product descriptions, ratings, review counts, features and prices on the Site come from vendors, public sources, third-party review sites and our own research. They may be incomplete, out of date or based on estimates, and ratings from other sites have not been independently verified by us. Software changes often, so please confirm details with the vendor before you decide.

If you spot an error, tell us through the contact page and we will review it. We do not guarantee that any information is accurate, complete or current.

Terms for software vendors

This section applies if you list, claim, advertise or supply content for a product on the Site.

• Authority and accuracy. You confirm that you may act for the vendor, and that the content you give us is accurate, not misleading, and supported by evidence where it makes claims. You must follow advertising and consumer protection laws, and you must not submit fake or incentivised reviews presented as independent.
• Licence. You give us a non-exclusive, worldwide, royalty-free licence to use, display, copy and format your names, logos, descriptions, screenshots and other content to run and promote the Service, for as long as you are listed and a reasonable time afterwards to remove cached or archived copies. You keep ownership of your trademarks and content.
• Leads. Requests we send you are handled under Section 6 of our Privacy Policy. In short, you may use them to respond to the request and for your own lawful business, you must follow marketing, email, phone and privacy laws, and you must not sell them or pass them to data brokers.
• Our editorial content. We decide what our comparisons and commentary say. If you think a factual statement about your product is wrong, tell us and we will review it. We may keep public information and third-party ratings on the Site.
• Removal. We may edit or remove a listing for inaccuracy, breach of these Terms, complaints, legal risk, or other business reasons.

What you submit to us

You keep ownership of what you send us, such as form entries and messages. You give us a non-exclusive, worldwide, royalty-free licence to use it to provide, run, secure and improve the Service, and to share it with vendors as you ask. You confirm that you have the right to give it to us, that it is lawful, and that it does not include other people's personal data without a legitimate basis.

If we later allow reviews or comments on the Site, we will publish extra rules for them.

Intellectual property

The Site, including its text, design, curation, comparisons, methodology, software and the Bizglocal name and logo, belongs to us or our licensors. We give you a limited, revocable, non-transferable licence to use the Site for your own internal business evaluation of software. You may not copy, modify, distribute or create derivative works from it beyond that, except where the law allows.

Vendor names, logos and product names belong to their owners. We show them to identify products, and their use does not mean that the owner endorses us or that we endorse them beyond what we say. If you send us suggestions or feedback, we may use them without obligation to you.

Third-party sites and products

The Site links to and embeds content from other sites and vendors. We do not control them and are not responsible for their content, products, security or privacy practices. Their own terms and policies apply when you use them.

Privacy and electronic communications

Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies, and form part of these Terms. By using the Service, you agree that we may send you notices and other communications electronically, by email or on the Site, and that these meet any legal requirement for them to be in writing. Marketing emails are covered by our Privacy Policy, and you can unsubscribe at any time.

Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that:

• any vendor, product or offer will meet your needs, or deliver any result or saving;
• information on the Site is accurate, complete or up to date; or
• the Site will be available at all times, or free of errors, delays or harmful code.

Some places do not allow certain disclaimers. In those places, the disclaimers apply only as far as the law permits.

Limitation of liability

To the fullest extent the law allows:

• Bizglocal, its affiliates, directors, officers and employees are not liable for indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or these Terms;
• our total liability for all claims arising from or related to the Service or these Terms is limited to US$100; and
• we are not liable for anything a vendor or other third party does, provides or fails to provide.

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct, or for death or personal injury caused by negligence where the law does not allow it to be limited.

Indemnity

You will defend and compensate Bizglocal and its affiliates, directors, officers and employees against claims, losses and reasonable costs brought by a third party and arising from your breach of these Terms, content you submit, or (for vendors) your listing content, your product claims, and your use of data we send you. We will tell you promptly about any claim, and you may not settle one that imposes obligations on us without our written consent. This applies only as far as the law permits.

Suspension and termination

You can stop using the Service at any time. We may suspend or end your access, with or without notice, if you breach these Terms, if we reasonably think your use creates risk or harm, or if the law requires it. Sections that by their nature should continue, including those on intellectual property, disclaimers, liability, indemnity and governing law, continue after your access ends.

Governing law and disputes

If a dispute arises, please first write to us at the address in Section 20 with the details, and we will try in good faith to resolve it within 30 days. Nothing here removes any mandatory consumer or data protection rights you have under the law where you live.

Copyright complaints

If you believe content on the Site infringes your copyright, send a notice to our designated agent with: (1) a description of the work; (2) where the material is on the Site; (3) your name, address, phone and email; (4) a statement that you believe in good faith that the use is not authorised; (5) a statement, under penalty of perjury, that the notice is accurate and that you own or may act for the owner; and (6) your signature. If your content is removed and you believe that was a mistake, you can send a counter-notice with equivalent details. We may end access for repeat infringers.

General terms

• Sanctions and export. You confirm that you are not on a government restricted-party list and will not use the Service in breach of applicable trade or sanctions laws.
• Entire agreement. These Terms, with the policies they refer to, are the whole agreement between you and us about the Service.
• Severability and waiver. If a part of these Terms cannot be enforced, the rest still applies. A delay in enforcing a right is not a waiver of it.
• Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example in a merger or sale of the business.
• Events beyond our control. We are not responsible for failures caused by events outside our reasonable control.
• No partnership. Nothing here makes you and us partners, agents or employer and employee, and there are no third-party beneficiaries.
• Notices. We may notify you by email or a notice on the Site. You can notify us using the details in Section 20.

Changes to these Terms

We may update these Terms, for example as we add industries or features, or as the law changes. The "last updated" date shows the current version. For material changes, we will give notice that is reasonable in the circumstances, by email or on the Site. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, please stop using the Service.
